Job Description
- Drafting documentation with respect to incorporations, amendments, amalgamations, continuances, dissolutions, tax reorganizations, and assist with general corporate commercial work
- Maintaining corporate records, including conducting minute book reviews and provide recommendations with respect to deficiencies and required ratifications
- Drafting general minute book documents (including annual resolutions, changes to directors, officers, registered office address, dividends)
- Providing assistance closing various corporate transactions, drafting minor documents relating to share purchase and asset purchase transactions and corporate reorganizations
- Drafting closing agendas, closing schedules and prepare closing books and report letters
- Conducting corporate searches
- some administrative work (opening files, billing, saving emails)
Required Experience/Skills/Qualifications:
- Minimum 5 years of experience as a corporate law clerk
- Law Clerk Diploma or Institute of Law Clerks of Ontario Certificate (or equivalent)
- Experience with PCLaw, MS Word, Outlook, Fast Company and Dye & Durham
- Advanced written and verbal communication skills
- Self-driven, detail oriented and hard-working
- Excellent time-management skills and ability to handle multiple priorities simultaneously
- In depth knowledge of the OBCA and CBCA
