Reporting to the Senior Legal Counsel and Corporate Secretary, the Law Clerk is accountable for providing legal and governance support for the organization and Board of Directors. This position offers an opportunity to learn and grow your career within the legal field.

Responsibilities

Corporate Law Clerk responsibilities will include:

Drafting corporate filings and resolutions and its subsidiaries across Canada;
Maintaining corporate records for all entities including paper and electronic minute books;
Preparation of Annual Resolutions and Annual Returns;
Coordinating with local counsel across Canada;
Assist with corporate entity management including dissolutions and amalgamations;
Preparing and making Provincial and Extra-provincial registrations;
Industry Canada, CRA, Statistics Canada, TSX and other corporate and securities filings; and
Maintaining and updating the corporate organizational chart.

Governance responsibilities will include:

Co-ordinating and supporting the governance and operational activities of the corporate secretarial function for the company’s Board of Directors and Board Committees;
Board Operations support including coordinating meeting logistics for Board and Committee meetings and site visits (calendar invites and food and beverage);
Create and upload materials to Diligent, the secure portal for Board materials; and
Co-ordinate new Board member orientation and onboarding.

What They Are Looking For

Completion of post-secondary law clerk program or equivalent combination of education and experience
Experience in fast paced legal environment is an asset
Experience in the construction industry is an asset, however not a requirement
Strong understanding of legal and governance procedures
Strong computer skills using a wide variety of software including Microsoft Office products (Outlook, Word, Excel and PowerPoint)
Knowledge of Diligent or other Board governance software is an asset
Flexible and able to manage multiple priorities simultaneously; meet the time demands of unpredictable activities; capable of handling pressure and challenges in a dynamic business environment
Effective and efficient problem solving and decision-making skills; thoughtful, proactive and creative
Demonstrates a sense of urgency and strong commitment to achieving goals; ability to work in a challenging, fast-paced environment
Ability to forge, grow and maintain positive relationships with multiple groups
Strong written and oral communication skills
Able to manage multiple priorities simultaneously and meet the time demands of unpredictable activities, capable of handling pressure and challenges in a dynamic business environment
Ability to work within tight deadlines and prioritization of work to achieve them
Strong analytical, critical thinking, problem-solving skills, and a high degree of accuracy and attention to detail
