Our client, a leading North American business services and private investment firm, focused on real estate services and private investment, wealth advisory, and asset management is looking to add a Corporate Law Clerk to their team.
Job Summary:
The Corporate Law Clerk is responsible for the maintenance of the Company’s corporate structures, including but not limited to incorporating corporations and partnerships, maintaining the corporate records, drafting resolutions, preparing provincial, state and federal filings, conducting searches, implementing corporate reorganizations, and managing intellectual property.
Responsibilities:
- Updating, maintaining and managing minute books and the corporate records for over 250 entities, primarily in North America but in some offshore jurisdictions
- Drafting organizational documents, including articles of incorporation, by-laws and resolutions, in Canada and the US
- Prepare filings or documentation required by provincial, state or federal bodies in Canada and the U.S. as well as documentation required by financial institutions
- Assist in drafting purchase agreements, resolutions and ancillary documents to implement corporate reorganizations and dissolutions
- Lead responses to know your customer (“KYC”) requests from financial institutions, including preparing AML certifications/letters
- Assist with bank account openings
- Review and analyze corporate charter documents and records to ensure compliance with governing statutes
- Create and maintain all precedent corporate documentation
- Act as liaison with legal team, other internal departments and partner firms
- Other administrative tasks and/or special projects, as needed
Skills and Qualifications:
- Minimum 5 years of experience handling corporate administration and/or working at a senior level in a law firm or in-house Law Department
- Experience with limited partnerships, US entities or a real estate focused institution is an asset
- Post-secondary degree or diploma in corporate legal administration, law clerk or paralegal studies or related field
- Strong proficiency in MS Office, Visio, a corporate database system, and online regulatory filing processes
- Exceptional time management, organizational and recordkeeping skills
- Excellent interpersonal and communication skills (written and verbal)
- Professionalism and ability to take accountability for providing timely and accurate responses to inquiries from internal and external stakeholders
- Able to work well under pressure, to manage multiple tasks and take ownership in supporting the team
- Certified Law Clerk designation through ILCO
