Our client, a boutique Corporate and Health Care Legal Services Firm is looking to add a Corporate Law Clerk to their team.
Responsibilities
1. 5+ years of corporate experience (very comfortable with all forms of minute book documents, including annual resolutions, all types of dividends (stock, eligible, other than eligible, capital), incorporations and organizations (Ontario and Federal), share redemptions, share transfers, changes of accountants, changes to the board of directors/officers, the filing of Annual Returns, etc.). Ideally, someone who worked in a corporate department for at least a few years and is very familiar with this type of work.
2. Prepare documentation relating to Articles of Incorporation, Amendment, Amalgamation, Dissolution, Continuance and Revival
3. Review and update minute books and prepare documents to rectify deficiencies
4. Experience using Ecore and the OBR.
The Corporate Law Clerk will be an integral part of the team, responsible for helping to maintain 2,000 corporate minute books, and supporting lawyers in the firm.
The position is “in office” at the present time with the possibility to move to part-time remote work in the future (3 days in office minimum).
