You will be part of a diverse and dynamic legal team committed to supporting the legal needs of a hearing healthcare retail company. Our client is looking for a team player who can work independently and is looking to join a fast-paced, high growth, energetic and forward-thinking team. Remote work available.

Primary Responsibilities:

  • Co-ordinate and manage legal tasks for corporate transactions, legal intake process and files
  • Collaborate with internal teams to respond to legal requests from various business units
  • Assist lawyers and senior law clerk on corporate transactions, closings and legal files
  • Maintain and update corporate minute books
  • Draft corporate/commercial documents such as resolutions, agreements, amendments, closing agendas, closing books and reports
  • Assist with due diligence and minute book reviews; Prepare reports outlining issues and deficiencies
  • Prepare and complete annual corporate reports and applicable filings with regulatory authorities
  • Review and summarize corporate searches, including PPSA searches
  • Develop, maintain and manage contract database
  • Draft and update precedents, checklists and processes
  • Assist with drafting, researching, maintaining and updating corporate policies
  • Conduct legal research as required.

 

Required Knowledge and Experience:

  • Completion of an accredited Law Clerk program
  • Minimum 2-4 years related work experience as a Law Clerk or comparable role
  • High level of attention to detail
  • Must have strong understanding of corporate law and contracts law
  • Experience in maintaining, organizing and working with corporate minute books and records
  • Experience in developing and maintaining contract databases
  • Excellent time management, multi-tasking, and prioritization skills
  • Analytical thinking and research skills with the ability to assess situations, interpret and apply legislation, and recommend appropriate action
  • Ability to work independently and as part of a multi-disciplinary team in a fast-paced, high-volume work environment
  • Excellent interpersonal and communication skills (written and oral)
  • Ability to communicate with tact and discretion, can explain complex information clearly and relay instructions
  • Self-motivated individual that takes initiative and has excellent problem-solving skills
  • Proficient in MS Suite, DocuSign, Cyberbahn, Oncorp/Ecore or similar search databases
  • Member in good standing with the Institute of Law Clerks of Ontario would be an asset
