Our client is a Canadian‐based REIT engaged in the acquisition, development, ownership and management of logistics, warehouse and industrial properties in North America and Europe. They own 144 investment properties representing approximately 63.3 million square feet of leasable area. Head office is located in Toronto’s financial district downtown, with regional offices in Dallas, Texas; Amsterdam, Netherlands and Vienna, Austria.

Position Overview

Reporting to the Senior Director, Legal & Investor Services and the Executive Vice President, General Counsel & Corporate Secretary, our client is seeking a full time Corporate Law Clerk to join its Toronto Office.

Working closely with the legal and finance teams in Toronto, the successful candidate will be responsible for the corporate maintenance for all of our clients’ North American entities.

Key Responsibilities

Corporate record-keeping and organization for the firm’s North American legal entities including:

  • Preparation of routine minute book documentation, including annual resolutions and other ancillary documents, and maintenance of same;
  • Preparation and filing of forms and notices required by local jurisdictions within Canada and the U.S., including extra-provincial licenses, annual returns, renewing business name registration;
  • Preparation and filing of incorporation and organizational documents for both Canadian and U.S. entities;
  • Assisting with due diligence and preparation of corporate documentation in connection with internal and external transactions;
  • Liaising with internal departments to prepare intercompany resolutions, loan agreements, contribution agreements and other ancillary documents to support corporate actions and internal flow of funds;
  • Liaising with external counsel on corporate matters;
  • Supporting legal team with ongoing securities law requirements;
  • Other general corporate tasks and duties as may be required.

Qualifications/Requirements

  • At least 4-6 of related experience as a Corporate Law Clerk, gained in a law firm or in-house legal department, preferably at a large multinational company;
  • Post-secondary education, preferably with a Law Clerk or Paralegal Designation;.
  • Demonstrated knowledge of laws/legislation, legal terminology, forms and documents related to corporate governance;.
  • Excellent organizational, attention to detail, time management and multi-tasking skills;
  • Strong communication skills, both written and verbal;
  • A high degree of initiative and ability to work independently as well as part of a team;
  • Excellent interpersonal skills, including working effectively with management and staff at all levels of the organization;
  • Experience in securities and knowledge of SEDI, SEDAR+, TMX Linx and dissemination of press releases will be considered an asset;
  • Familiarity with extra-provincial and foreign entities will be considered an asset;
  • Experience with commercial real estate transactions will be considered an asset;
  • Willingness to learn.
