Our client, Promutuel Insurance, is a leader and a pioneer in insurance in Québec, with 170 years spent devoted to protecting the local population’s assets, which gives it unparalleled expertise in the field. Promutuel continues to maintain strong operations and is well-established in all regions of Québec through its network of 16 mutual insurance associations.

Still growing, both in Quebec and outside the province, and in response to the growing importance of corporate governance within the insurance sector, Promutuel has created the position of Director of Corporate Governance within its legal team, already comprised of several professionals.

Reporting directly to the General Counsel, you will be called upon to advise the Corporate Secretary, the Chairman of the Board and the CEO on matters of governance and proper management of the Board of Directors. You will be responsible for implementing, monitoring and ensuring compliance with best practices. You will be called upon to review the annual assessment process for board members, as well as the competency and profile matrixes. You will ensure the efficient organization of issues to be discussed at board meetings, and oversee the execution of board and committee meetings and the Annual General Meeting. You will participate in board meetings and act as secretary to certain committees. You will also support the 16 mutual companies in matters of governance.

Are you proactive, agile and recognized for your ability to influence while demonstrating patience, tact and diplomacy? If you have at least 7 years of relevant experience, including some in governance and corporate secretarial work, and are a member of the Quebec Bar, we would like to speakwith you.
