Our client, Aimia Inc. (TSX: AIM), is a holding company with a focus on long-term investments in public and private companies, on a global basis, through controlling and minority stakes. Previously a business primarily dedicated to corporate loyalty programs, the company has transformed itself since 2019. With a current portfolio of investments, including: a 10.85% stake in Clear Media Limited, one of the largest outdoor advertising firms in China, a 48.8% equity stake in Kognitiv, a B2B technology company enabling collaborative commerce, a 10.8% equity stake in TRADE X, a global B2B cross-border automotive trading platform as well as a wholly owned investment advisory business, Mittleman Investment Management, LLC.

To help the company achieve its business objectives, Aimia is looking for a Chief Legal Officer and Corporate Secretary.

Reporting directly to the CEO, you will be a member of the management team and oversee all of the company’s legal matters, both in Canada and internationally. You will provide day-to-day legal and business advice to the senior management team, the Board of Directors and the company’s various departments.

On a daily basis, you will analyze various business opportunities, assess and minimize legal risks, in order to protect the company’s interests, with an emphasis on handling M&A/investment transactions in collaboration with external counsel. You will also participate and liaise with the company’s investment committee, which includes the CEO, President and CFO. You will also be involved in corporate secretary and governance matters, including disclosure requirements specific to public companies, with the assistance of the Corporate Governance Administrator, whom you will supervise. As required, you will advise on litigation matters, employment law and draft/review commercial contracts for the holding company, as well as manage the legal budget and relationships with both local and foreign law firms.
