Our client, a Canadian Public Company is looking to add a Corporate Law Clerk to their team.
Role:
Reporting to the Senior Manager, Legal, the Law Clerk will be part of a high-energy team that is responsible for entity management services for a large portfolio of domestic and international legal entities and assists with corporate transactions, securities law compliance and continuous disclosure requirements. The Law Clerk will work closely with a variety of stakeholders, including senior executives.
Responsibilities:
- Prepare routine minute book documentation, update and maintain electronic minute books and the corporate records database for our client’s portfolio of Canadian and international entities.
- Prepare and file articles and corporate documentation relating to incorporations, amendments, continuances, amalgamations and dissolutions and other corporate transactions, particularly under the OBCA and CBCA.
- Prepare and file annual returns, business name, partnership, and limited partnership registrations.
- Prepare corporate structure charts to accurately identify voting and participating interests
- Conduct minute book reviews and rectify deficiencies.
- Assist with transactions, including reorganizations, acquisitions, divestitures and financing matters.
- Ensure corporate documents and practices are in compliance with relevant statutory requirements.
- Be involved in a variety of special projects.
- Effectively liaise with the legal team, along with various internal and external stakeholders; engage with external corporate counsel and extra-provincial/international agents, as needed.
Qualifications:
- Minimum four (4) years’ experience as a corporate law clerk within a law firm, financial institution or publicly traded company.
- Completion of law clerk program recognized by the Institute of Law Clerks of Ontario.
- Knowledge and understanding of applicable statutes (for example, CBCA, OBCA, and partnership and business name registration statutes).
- Strong proficiency in MS Office, Excel, Adobe Acrobat, corporate database systems (GEMS preferred), Visio, OnCorp/E-Core and online regulatory filing processes.
- Positive attitude with superior verbal and written communication, organizational and multi-tasking skills.
- Ability to work in a fast-paced environment where attention to detail, accuracy and confidentiality are critical.
