Our client, Gildan (GIL: TSX and NYSE), is a leading manufacturer of everyday basic apparel and markets its products in North America, Europe, Pacific Asia, and Latin America under a diverse portfolio of brands. With approximately 50,000 employees worldwide, Gildan owns and operates high-volume, vertically integrated manufacturing facilities located primarily in Central America, the Caribbean, North America, and Bangladesh.

In order to better serve its needs, Gildan is looking for a Director, Legal Affairs, Ethics & Governance to join its legal team at the Montreal head office.

Reporting to the VP of Legal Affairs and Corporate Secretary, and supervising a team of three professionals, your role will focus on three main areas:

  • ethics, integrity & governance;
  • the corporate secretariat;
  • a variety of legal issues ranging from ESG reporting issues, including governance issues, risk management issues, litigation, and claims arising out of our operations or other initiatives with legal implications for the company, to name a few.

Concretely, you will monitor applicable regulations and ensure risk management to ensure sound practices at the global level, particularly concerning anti-corruption measures, fraud allegations, conflicts of interest, code of ethics, social environment, and good governance (“CSR” / “ESG”), etc. You will develop & deliver the necessary internal training and conduct investigations as required. As the Assistant Corporate Secretary, you will support the Board of Directors and senior management on various governance issues, ensure the efficient organization of meetings and activities of the Board of Directors, its committees, and the Annual General Meeting, and ensure the compliance of documents presented to its members. Your advice will also be required on various risk management issues and other projects.
