Our client, Aimia Inc. (TSX: AIM), is a holding company with a focus on long-term investments in public and private companies, on a global basis, through controlling or minority stakes. Aimia, whose business was previously primarily dedicated to corporate loyalty programs, has transformed itself since 2019. It now operates an investment advisory business through its wholly owned subsidiary, Mittleman Investment Management LLC and owns a diversified portfolio of valuable investments.
To help the company reach its business objectives, Aimia is looking for a General Counsel and Corporate Secretary.
Reporting to the CEO, you will serve as the company’s sole in-house counsel. As a member of the management team, you will also act as the company’s corporate secretary. Your will oversee all of the company’s legal matters, both in Canada and internationally, and provide day-to-day legal and business advice to both the senior management team, the Board of Directors and the various departments.
On a daily basis, a significant portion of your time will be spent analyzing various business opportunities, assessing and minimizing legal risks, protecting the company’s interests and handling M&A/investment transactions in collaboration with external counsel. You will participate and liaise with the company’s investment committee, which includes the CEO, President, CFO and CIO. At the same time, you will also be involved in corporate secretary and governance matters including disclosure requirements specific to public companies, with the assistance of the Corporate Governance Administrator. You will advise on litigation matters, employment law and draft/review commercial contracts, when required as well as manage the legal budget and relationships with local & foreign external law firms. You will also work directly with the Board of Directors, advising on governance matters.
