Our client is a tax boutique dedicated to delivering exceptional, high-touch tax advisory services to family offices, high-net-worth individuals, and private enterprises. They specialize in Canadian and cross-border tax planning, and tax planning in connection with corporate structuring, trust and estate matters, and international investment strategies.
Position Overview
They are seeking an experienced Corporate Law Clerk to join their growing team. The ideal candidate is detail-oriented, organized, and experienced with corporate records, minute book maintenance, and the implementation of corporate reorganizations.
Key Responsibilities
- Maintain and update corporate minute books
- Prepare and file corporate documents (incorporations, amendments, continuances, dissolutions, etc.)
- Draft and organize documentation for corporate reorganizations (rollovers, share exchanges, estate freezes, etc.)
- Coordinate and track filings with government registries and ensure compliance with applicable corporate laws
- Liaise with clients, accountants, and other professionals as needed
- Maintain corporate records database and track critical dates
- Support lawyers with other corporate and administrative tasks as required
Qualifications
- 5+ years of experience as a corporate law clerk
- Law Clerk diploma or equivalent education
- Strong knowledge of Canadian corporate statutes (federal and Ontario)
- Proficiency with legal software (minute book management software) and document management tools (e.g., Adobe, Microsoft Office, etc.)
- Excellent attention to detail and organizational skills
- Ability to manage multiple files and deadlines independently
- Experience with tax-driven reorganizations considered an asset
