Our client, Sagard Holdings (“Sagard”), is a multi-strategy alternative asset management firm active in venture capital, private equity, private credit and real estate with professionals located in Canada (Montreal, Toronto), the United States, Europe and the Middle East. Since 2016, Sagard has experienced exponential growth: assets under management have increased from US$500 million to more than US$32 billion, and Sagard’s team of diverse professionals has grown from 50 to 440.

Sagard is seeking a strategic, operationally driven Manager, Corporate Paralegal Services to join its legal team, which consists of approximately 20 full-time employees, in order to support the company’s accelerated growth.

This role will lead and scale the firm’s corporate governance, entity management, and transaction execution infrastructure across its global investment platform. It oversees corporate secretarial functions, governance frameworks, and operational processes that support Sagard’s investment activities, while partnering closely with Legal, Investment, Finance, Investor Relations, Tax and Compliance teams.

Key responsibilities include:

• Leading and overseeing corporate governance processes across Sagard’s global entities, funds, SPVs, and management companies;
• Managing corporate secretarial activities, including board and shareholder meetings, resolutions, minute books, and statutory filings;
• Maintaining and optimizing complex, multi-jurisdictional entity structures;
• Supporting fund launches, restructurings, and lifecycle events while coordinating with fund administrators, auditors, and external advisors;
• Overseeing corporate aspects of capital calls, distributions, redemptions, and investor reporting processes;
• Providing senior oversight of transaction execution, including closings, entity formations, board approvals, and document management;
• Partnering with deal teams and external counsel on investments, financings, restructurings, and exits;
• Strengthening governance policies, regulatory compliance frameworks, and risk management processes;
• Leading and developing a high-performing Corporate Services team while driving operational efficiency and legal technology initiatives.

We are seeking a seasoned professional with significant experience in corporate governance, legal, or fund operations, ideally within a private equity or alternative asset management environment. The ideal candidate brings strong leadership, organizational, and project management skills, along with the ability to navigate complex transactions and multi-jurisdictional structures in a fast-paced, evolving environment.
