Position Overview
CDEV is seeking a Corporate Law Clerk to join its dynamic and collegial legal team and assist with the continued growth of the organization. This role will provide support across corporate and transactional, corporate governance, and compliance matters for CDEV and several of its subsidiaries including the Canada Indigenous Loan Guarantee Corporation (CILGC) and the Canada Enterprise Emergency Funding Corporation (CEEFC).
This role combines traditional in-house law clerk responsibilities, such as drafting and reviewing contracts, corporate records maintenance, and assisting with transactions. In addition, the law clerk will review and monitor compliance with policies and procedures and contribute to best practices in corporate governance, including supporting the effective functioning of Investment Committee and Board meetings for CILGC and CEEFC. The law clerk will also contribute to the effective operation of the legal function by supporting processes and assisting with the development and monitoring of compliance frameworks.
This position is located in Toronto, currently with a hybrid work option.
Key Responsibilities
General Law Clerk Support
- Provide support to the legal team across a range of legal matters.
- Assist with the preparation, review, and organization of contracts.
- Support transaction execution by organizing documentation, tracking deliverables, and maintaining closing records.
- Ensure accurate and accessible document management.
- Draft, review, track, and manage non-disclosure agreements (NDAs) and other agreements, including maintaining templates and monitoring execution status.
Corporate Governance & Records Management
- Maintain corporate records and documentation to support governance and regulatory requirements.
- Organization of Board and Committee materials, including uploading materials to Diligent and preparing meeting minutes.
- Ensure records are complete, up to date, and audit-ready in accordance with internal standards.
- Maintain and update corporate minute books, ensuring accuracy and completeness of records.
- Provide support in responding to Access to Information and Privacy (ATIP) requests and Parliamentary Questions, including document coordination and tracking.
Compliance Support & Tracking
- Develop and maintain compliance checklists and summaries to support legal and regulatory obligations.
- Create and maintain standardized compliance reports, including:
- Conflicts Management:

- Maintain records of disclosed conflicts and associated mitigation measures.
- Track and update a centralized conflicts database.
- Restricted Trading Lists & Inquiries:

- Maintain and update restricted trading lists.
- Respond to inquiries in connection with pre-clearance requests.
- Operational Policy Compliance:

- Track adherence to internal policies and support reporting on compliance matters.
- Monitor and follow up on completion of compliance-related tasks.
- Training & Policy Implementation:

- Work with legal team members to develop training materials, including presentations and guidance documents.
- Support onboarding and ongoing training initiatives for staff on legal and compliance matters.
- Track training completion.
Key Skills and Attributes
- Diploma or certificate in a Law Clerk program or equivalent experience.
- 5+ years of relevant experience at a law firm or in-house.
- Experience supporting corporate, regulatory, transactional, or governance-related legal work is considered an asset.
- Experience using Diligent software for Board and Committee meetings.
- Strong organizational skills with the ability to manage multiple priorities and deadlines.
- Detail-oriented with a high level of accuracy in document and data management.
- Proactive approach to tracking tasks and coordinating with stakeholders.
- Collaborative working style with strong interpersonal skills.
- Strong written and verbal communication skills.
- Bilingualism in English and French is considered an asset.
The Corporate Law Clerk will support CDEV on a broad range of legal matters across the organization and its subsidiaries. Salary Range: $100,000 = $140,000
